Hi prservices, it looks like the readme file may be from the last version of the plugin. There have been some changes. You need to move the file offline-credit-card.php into the merchants folder of the main WP-E-Commerce plugin, /wp-content/plugins/wp-e-commerce/merchants/
The other file should remain in the wp-e-commerce-offline-credit-card plugin folder. Hope this helps.
